Standard Terms of Agreement

All prices are in British Pounds and are exclusive of VAT.

Ai Engineer will invoice the Licensee/agent (“agent”) at the beginning of each month for applicable fees.

Invoices will be emailed to the Finance Email address provided on the order form.

Outstanding payment and interest shall accrue from the date of the invoice at 1.5% per month, compounded monthly.

AI ENGINEER may cancel or suspend the program should the agent fail to make payment within 60 days of the invoice date.

The agent agrees to a 12-month contract.

Both agent and AI ENGINEER have the right to cancel the service by providing written notice a minimum of 30 days prior to the end
of the agreement term “Notice Period” (i.e. at the 11th month of the 12-month term).

Should the agreement be terminated prior to Notice Period, termination fees may be applied and would be calculated based on
the number of months remaining multiplied by the monthly fees (not including third party lead volume charges).

The agreement term automatically renews for successive one-year terms (12 months) unless written notification is received by
either party.
AI ENGINEER may terminate this agreement at any time upon 30 days’ notice or immediately upon a breach of their Terms of
Use by the agent.

Written notice must be sent by email to the above-mentioned contact and received no later than 30 days prior to agreement expiration.
